CLARIFICATION ANNOUNCEMENT REGARDING THE RESULTS OF THE
ANNUAL GENERAL MEETING HELD ON THE 22 NOVEMBER 2013
The board of directors of Protech Khuthele wishes to make this voluntary
announcement regarding the results of the Annual General Meeting (“AGM”) held on
the 22 November 2013 and the results thereof which were published on SENS on 22
November 2013.
The total issued share capital of the Company was 362,500,000 on the 22 November
2013, which remains unchanged. A total of 236,964,486 shares were represented
either in person or by proxy at the AGM, representing only 65.37% of the Company’s
issued share capital. Proxies were not received for the balance of 34.63%, or
125,535,514 of the Company’s issued share capital.
Protech Khuthele would like to clarify to shareholders, that although some of the
ordinary resolutions were not passed by majority vote at the AGM, this did not mean
that 50% of the shareholders of the Company’s total issued shares did not approve the
resolutions. Of the 65.37% of represented shares only 50% did not vote on those
particular ordinary resolutions.
