BOARD OF DIRECTORS – NON-EXECUTIVE DIRECTOR APPOINTMENT

Noteholders are advised by the board of Directors of African Bank (“Board”) that Ms Nonzukiso (“Zukie”)
Siyotula has been appointed as an independent non-executive director of the Bank and its holding company,
African Bank Holdings Limited with effect from 13 August 2021. The Bank confirms that the appointment
of Zukie was done in accordance with African Bank’s policy on the selection and nomination of non-
executive directors, and in order to fill a vacancy as well as add to the skills set on the Board. Zukie’s
appointment on the relevant Board committees will be confirmed in due course.

Zukie holds two Bachelor of Commerce degrees, a Master of Business Administration, the designation of
CA(SA) and completed three prestigious executive leadership programmes. Her diverse professional
experience ranges from general management, finance, corporate governance, strategy, restructuring and
business development. Zukie is currently the Chief Executive Officer (“CEO”) of Siyotula Holdings, with
previous roles having been the CEO of Thebe Capital, and various senior management roles with the
Barclays Africa Group, Old Mutual Retail Mass, and Royal Bafokeng Holdings.

Commenting on Zukie’s appointment, the Chairman of the Board, Thabo Dloti, stated, “We are extremely
excited about and welcome Zukie’s appointment as a non-executive director. Zukie has been the recipient
of a number of business awards in recognition of her vision and leadership. Her passion for the advancement
of women in business and transformation in general, together with her strong auditing, governance and
business skills, will add immense value to the Board and its committees.”
