NO CHANGE STATEMENT AND NOTIFICATION OF RELIANCE ON THE FSCA MARKET
NOTICE DATED 3 APRIL 2020
Shareholders are advised that the consolidated annual financial statements for the year
ended 31 March 2020 (“F’20 AFS”) have been published, and are available, on the
Company’s website (www.tsogosun.com/gaming). The F’20 AFS contain no modifications to
the reviewed reports which were published on the Stock Exchange News Service on 9 June
2020.
In accordance with the JSE Listings Requirements, the Company’s integrated annual report in
respect of the period ended 31 March 2020, incorporating the F’20 A FS (“F’20 IA R”) and
notice of the Company’s annual general meeting (“Notice of AGM”) were due to be distributed
to shareholders on or before 31 July 2020. Shareholders are however advised that due to the
disruption caused by COVID-19, TSG’s ability to complete all the necessary work required t o
finalise and distribute the F’20 IAR and the Notice of AGM to shareholders by 31 J uly 2020
has been constrained. Shareholders are therefore advised that the Company will be utilising
the two-month extension period afforded to issuers with year-ends of 31 December 2019, 31
January 2020, 29 February 2020 and 31 March 2020, (as communicated in the market notice
issued by the Financial Services Conduct Authority on 3 April 2020 and distributed by the JSE
on the same date), in relation to the distribution of its F’20 IAR and Notice of AGM to
shareholders.
The Company will distribute its F’20 IAR and Notice of AGM to shareholders by no later t han
30 September 2020.
As advised by the JSE, the Company reiterates that market participants should not d raw
undue adverse inferences as a result of it making use of the extension periods available to it.
