Notice of the Voting Results in respect of the request for Written Consent of
Noteholders

Unless otherwise defined herein, capitalised terms shall have the same meaning as set forth in the
Consent Request (as defined below).

Reference is made to the notice of request for written consent released on SENS on 7 May 2019 (the
“Consent Request”), in which the Extraordinary Resolutions set out below were proposed:


1. EXTRAORDINARY RESOLUTION NUMBER 1 OF THE NOTEHOLDERS – WAIVER OF SHORT
   NOTICE

     IT IS RESOLVED THAT

     The Noteholders accept short notice of the meeting and waive the notice period stipulated in the
     Programme Memorandum.

2. EXTRAORDINARY RESOLUTION NUMBER 2 OF THE NOTEHOLDERS – DELISTING OF THE
   NOTES

     IT IS RESOLVED THAT:

     The Noteholders approve that the Issuer make an application to the Interest Rate Market of the JSE
     to delist the Notes as soon as possible in accordance with the JSE Debt Listing Requirements and
     to reflect the delisting.

3.     EXTRAORDINARY RESOLUTION NUMBER 3 OF THE NOTEHOLDERS –AMENDMENTS
       TO THE APPLICABLE PRICING SUPPLEMENT

     IT IS RESOLVED THAT:

     The Noteholders approve the amendments to the Applicable Pricing Supplement, as reflected in the
     Amended and Restated Applicable Pricing Supplement.

In this regard, the Issuer confirms the voting results from the Consent Request as follows:

Drafts in substantially agreed form of the amended and restated Applicable Pricing Supplements and
the changes marked-up against the existing Applicable Pricings Supplements are also available on
request from the Issuer. Requests should be sent to Kavisha.Pillay@investec.co.za.

The Issuer confirms that all the resolutions have accordingly been passed and will take effect
immediately.
