UPDATE ON THE DISTELL SCHEME IMPLEMENTATION TIMETABLE
Defined terms used in this announcement shall bear the meaning ascribed thereto in the Distell circular
dated 17 January 2022 (“Scheme Circular”), unless otherwise indicated.
Distell Shareholders are referred to the Scheme Circular, wherein they were advised that the important
dates and times in the Scheme Circular had been determined on the basis of certain assumptions
regarding the date by which the Scheme would become Operative in accordance with its terms and
conditions. All dates and times in respect of the Scheme are therefore subject to change.
Distell Shareholders are advised that Distell does not anticipate receipt of approval of the Competition
Authorities on or before 30 June 2022 as set out in the Scheme Circular and accordingly, the important
dates and times of the Scheme must be extended.
The Company anticipates that, subject to the final regulatory timelines, the implementation of the Scheme
can still occur before the end of 2022.
A further announcement setting out the revised important dates and times of the Scheme will be made in
due course.
To the extent required by law, the Distell Board, individually and collectively, accepts responsibility for the
