FULFILMENT OF ALL CONDITIONS PRECEDENT RELATING TO THE ACQUISITION OF DEEP
CATCH NAMIBIA HOLDINGS (PROPRIETARY) LIMITED

Imperial shareholders are referred to the announcement released on the JSE
Stock Exchange News Service on 17 June 2021 in which they were advised that
Imperial, through its wholly-owned subsidiary, Imperial Capital Limited ,
entered into an agreement to acquire 100% of the issued share capital of
Deep Catch Namibia Holdings (Proprietary) Limited (“Deep Catch”) from its
shareholders, Salt Capital Ventures Limited, DEG - Deutsche Investitions-
und Entwicklungsgesellschaft mbH, Christoph Kubirske, Jared-Dwight Geyser
and Lewton Geyser (the “Transaction”).

Shareholders are hereby advised that all the conditions precedent relating
to the Transaction have now been fulfilled and the Transaction will be
implemented on 2 November 2021.
