CHANGE TO THE BOARD OF DIRECTORS AND TO BOARD COMMITTEES
In compliance with paragraph 3.59 of the JSE Limited Listings Requirements, shareholders are
advised of the following changes to the Company’s board and to its committees:
The board is pleased to announce that Marlisa Harris has been appointed, with effect from 23
February 2021, as an independent non-executive director of the Company. She will also
assume the responsibility as the chairperson of the audit and risk, and remuneration
committees, also with effect from 23 February 2021.
Marlisa is a Chartered Accountant, holds a business science degree and a diploma in
international tax. She has held a number of senior positions within the telecommunications
industries, including that of group chief financial officer of Econet International Limited (South
Africa/ Mauritius). She is currently the chief executive officer of the Masiyiwa Family Office.
Accordingly, Pierre Joubert, lead independent director of the Company, and Eduardo Gutierrez-
Garcia, have relinquished their roles as chairman of the audit and risk and remuneration
committees respectively. The board extends its gratitude to Pierre and Eduardo for their
chairmanship of the respective committees.
The board welcomes Marlisa to the board and looks forward to her contribution to the Company.
