                     RESULTS OF THE GENERAL MEETING

Shareholders   are  reminded  that   a  circular  posted   to
shareholders on 14 September 2012 in connection with inter
alia the restructuring of SA French through a mirror listing,
contained a Notice of General Meeting, which General Meeting
was held today.

The board is pleased to advise shareholders that all the
ordinary and special resolutions contained in the Notice of
General Meeting were passed by the absolute majority of
shareholders present and eligible to vote.

Shareholders are reminded of the following important dates
leading up to the expected listing of Torre on the Alternative
Exchange of the JSE on Monday, 26 November 2012, which listing
will replace the current listing of SA French:

Last date on which shareholders can make              Wednesday, 31 October
application to the court in terms of section 115(3)                
of the Act

Last date for SA French to send objecting             Wednesday, 31 October
shareholders notices of the adoption of the special                
resolution approving the Scheme, in terms of
section 164 of the Act

If no shareholders exercise their rights in terms
of section 115 of the Act:

Finalisation Date expected to be on                   Friday, 16 November

Finalisation announcement released on SENS on         Friday, 16 November

ast day to trade to participate in Scheme             Friday, 23 November
Consideration on

Suspension of listing of SA French shares at          Monday, 26 November
commencement of trading on

Expected listing of Torre shares (including Scheme    Monday, 26 November
Consideration) on the JSE under the abbreviated
name of “Torre”, JSE Code “TOR” and ISIN
ZAE000169322 at the commencement of trade on

Scheme Consideration Record Date, being the date on   Friday, 30 November
which Scheme Participants must be recorded in the
register to receive the Scheme Consideration, by
close of trading on

Operative Date of the Scheme is expected to be on     Monday, 3 December

Scheme consideration expected to be paid/posted to    Monday, 3 December
certificated Scheme Participants (if Documents of
Title are received on or prior to 12:00 on the
Scheme Consideration Record Date) on or about

Dematerialised Scheme Participants expected to have   Monday, 3 December
their accounts (held at their CSDP or broker)
updated or the Scheme Consideration Shares posted
to them on or about

Expected termination of listing of SA French shares   Monday, 3 December
at the commencement of trading on or about
