UPDATE ON DISPOSAL OF VACANT LAND BY PPC ZIMBABWE LTD

PPC shareholders are referred to the announcement published on the Stock Exchange News Service on
21 August 2025 ("Disposal Announcement") as well as the further announcements published on
1 September 2025 and 1 October 2025, wherein it was advised that the Company had, via its 88% held
subsidiary, PPCZ, concluded the Disposal Agreement relating to the disposal of the Arlington Property to
Transvaal Africa (Private) Limited ("Purchaser"), for a cash consideration of US$30 million. Unless
otherwise defined herein, the capitalised terms used in this announcement bear the same meaning as
those defined in the Disposal Announcement.

In the further announcement published on 1 October 2025, shareholders were advised that PPCZ and the
Purchaser had agreed to consolidate the various milestone events, which were all required to be met by
27 February 2026, failing which the Disposal Agreement would automatically lapse and become null and
void.

Shareholders are advised that various administrative matters, including an unfounded claim to the
Arlington Property by, amongst others, a Zimbabwean housing cooperative, which claim was lodged with
the High Court of Zimbabwe, have delayed the meeting of certain milestones. In this regard, the High
Court of Zimbabwe dismissed the claim with costs on grounds that the claim was frivolous or vexatious.
Given these administrative delays, PPCZ and the Purchaser have agreed to extend the date by which all
the milestone events are required to be met to 30 June 2026.
