ANNOUNCEMENT TO THE NOTICE OF A MEETING OF THE HOLDERS OF ALL CLASS A NOTES ISSUED
IN RELATION TO TRANSACTION NO. 6 – EMHL5 ("Transaction No. 6")
We refer to the notice delivered by the Issuer on 18 July 2024, in accordance
with Condition 22.2.3 of the Terms and Conditions of the Notes, giving notice
that a meeting of the holders of all the Class A Notes issued by the Issuer under
the Programme in relation to Transaction No. 6 ("Meeting"), is to be held on the
31 July 2024 at 11h30, at the offices of Redinc Capital (Pty) Ltd, situate at 10
Muswell Road South, Bryanston, for the purposes of considering, and, if deemed
fit, passing, with or without modifications, the Extraordinary Resolutions.
The Extraordinary Resolutions of the Noteholders is sought to amend and restate
the amended and restated Applicable Pricing Supplement issued by the Issuer in
relation to the Notes dated 2 August 2021 and approve certain amendments to be
made to the loan agreement entered into between the Issuer (as lender) and
Emerging Markets Home Loans Five Proprietary Limited on 27 March 2018 and as
amended and restated on 10 August 2021 (the "Loan Agreement").
The record date to be recorded in the Register to vote at the Noteholders Meeting,
is 26 July 2024.
Please note that the proxy form should be sent to Strate Proprietary Limited at
Strate-CDAdmin@strate.co.za, and a copy to the Issuer at paul@red-inc.co.za, any
time before the time and on the date, appointed for holding the meeting or
adjourned meeting of the Noteholders specified above.
