ACCEPTANCE OF CONDITIONAL AWARDS UNDER THE MOTUS CONDITIONAL SHARE PLAN SCHEME


In compliance with paragraphs 3.63 to 3.74 of the Listings Requirements of the JSE Limited, the
following information is disclosed:

Motus has allocated Conditional Awards to its Executive Directors and Company Secretary, in
accordance with the Motus Conditional Share Plan ("CSP") in respect of the 2026 financial year as set
out below. The acceptance thereof occurred on 04 September 2025.

Vesting of Conditional Awards, which occurs after three years i.e. by no later than 15 September 2028,
is subject to the achievement of certain performance conditions as determined by the Board.
Performance will be measured over the three-year performance period which commenced on 1 July
2025 and ends on 30 June 2028, save where it is specified otherwise. These Conditional Awards will
be issued at a deemed price of R88.9240 per share, being the 31-day volume weighted average price
("VWAP") as at 31 May 2025. Additional details of the transactions are disclosed as follows:
