Finalisation Announcement delay – Offer and Delisting

Shareholders are referred to the Results of General Meeting – Offer
and Delisting announcement that was released on SENS on 26 April 2023
which advised that the Offer has become unconditional and will be
implemented, subject only to the Takeover Regulation Panel issuing
the compliance certificate in terms of section 119(4) of the
Companies Act.

Shareholders are advised that the application process for the
compliance certificate is still ongoing and that the finalization
announcement with the updated salient dates and times will be
published on or before Monday, 8 May 2023 and that only the
finalization date and the first date on which the Offer Consideration
is to be sent to Offer participants who have accepted the Offer prior
to the Offer being declared wholly unconditional, will be affected.
