EXTENSION OF THE TERM OF OFFICE OF THE AIRPORTS COMPANY SOUTH
AFRICA SOC LIMITED (ACSA) BOARD OF DIRECTORS

Noteholders are hereby advised that the term of office of the
following Board members will expire on the following dates in
accordance with the Company’s Memorandum of Incorporation (MOI):

  •   Ms   Nosizwe Nokwe-Macamo - 31 August 2021
  •   Mr   Pascalis Mokupo - 31 August 2021
  •   Ms   Phydelis Zikalala Mvelase - 31 August 2021
  •   Mr   Irvin Phenyane - 31 August 2021
  •   Mr   Yershen Pillay - 31 August 2021
  •   Dr   Sandile Nogxina – 8 November 2021


The members mentioned above were appointed by the Minister of
Transport (the Minister) in accordance with the Company’s MOI. The
Minister has extended the term of office of these Board members
with effect from 1 September 2021 until the appointment process
has been finalised.

AFD Waiver Extension

Airports Company South Africa is pleased to announce that L'AGENCE
FRANCAISE DE DEVELOPPEMENT (AFD) in its capacity as a lender has
granted ACSA a grace period of 12 additional months (from 1 July
2022 to 30 June 2023) related to the required levels for the
historical and projected Net Debt to EBITDA ratio and historical
and projected Debt Service Coverage Ratio.
