BOARD CHANGE

In accordance with paragraph 3.59(a) of the Listings Requirements of the JSE
Limited, the board of Boxer is pleased to announce the following changes to its
board of directors ("Board"):

James Formby, who currently serves as Chair of the Company and as Lead
Independent Director of Pick n Pay Stores Limited ("PIK"), will succeed Gareth
Ackerman as Chair of PIK, with effect from the conclusion of the PIK's Annual
General Meeting to be held on 5 August 2025.

In anticipation of this transition, James has advised of his intention to step down
as Chair of the Company at the end of its current financial year, being February
2026. He will, however, remain on the Board of the Company in a non-executive
capacity.

The Board is pleased to announce that Sean Summers, currently serving as Chief
Executive Officer of PIK and non-executive director of the Company, will be
appointed as non-independent Chair of the Company, with effect from James's
resignation as Chair in February 2026. The Board is confident that Sean's
extensive retail experience and strategic insight will support the continued growth
and performance of the Company. Charlotte Maponya will continue in her role as
Lead Independent Director of the Company.
