BOARD AND COMMITTEE CHANGES

Noteholders are advised that Mr. Enoch Godongwana has resigned as an independent non-executive
director and chair of the board of DBSA with effect from 6 August 2021 following his appointment as
Minister of Finance. The board of directors expresses its appreciation for his valuable contribution to
the Bank and wishes Mr. Godongwana well in his new role as Minister of Finance and Bank’s Governor
and Executive Authority.


As a result of the appointment, Mr. Godongwana will no longer serve as the chair of the DBSA Board,
chair of the Nomination Committee, member of the Infrastructure Delivery and Knowledge
Management Committee, member of the Human Resources and Remuneration Committee and a
member of the Board Credit and Investment Committee. The chair of the DBSA Board and
Nominations Committee will be announced on SENS once the appointment has been finalised.


The Board remains properly constituted in terms of the Development Bank of Southern Africa Act Act
(13 of 1997, as amended) and can continue to perform and exercise its fiduciary obligations effectively.
