(Call) of GSI Series 2013-10 Senior Secured Notes
1. On 13 May 2013, the Issuer established the Goldman Sachs
International Guaranteed Senior Secured Inward Listed South
African Notes Programme (the Programme) in terms of which
the Issuer may from time to time issue debt securities on
the Interest Rate Market of the JSE Limited (the JSE) as
described in the JSE Placement Document, which was amended
and restated on 31 January 2014 (the JSE Placement
Document), read with the relevant final terms from time to
time.
2. On 28 May 2013 the Issuer issued ZAR1,300,000,000 Senior
Secured Notes (GSIS01) (the GSIS01 Notes) due 27 June 2014
(the Maturity Date) pursuant to the terms and conditions
contained in the Final Terms dated 27 May 2013 (the Final
Terms) read together with the JSE Placement Document. The
GSIS01 Notes are redeemable at the option of the Issuer at
any date within the period of 31 days preceding the
Maturity Date.
3. This notice is delivered by the Issuer to each holder of
GSIS01 Notes (the Noteholders) issued under the JSE
Placement Document in accordance with Condition 9 (Notices)
of the section headed “Additional Terms and Conditions of
the Notes” in the JSE Placement Documents for purposes of
notifying Noteholders of the Issuer exercising its option
for early redemption of the GSIS01 Notes on 27 May 2014 at
the face value thereof, together with any interest accrued
thereon up until that date.
