RESULTS OF THE GENERAL MEETING OF CAPESPAN SHAREHOLDERS
1. INTRODUCTION
1.1. Shareholders are referred to the joint announcement
published by Zeder and Capespan on SENS and on their
respective websites (www.zeder.co.za and
www.capespangroup.com) on 25 May 2015, and in the press
on 26 May 2015, advising that, inter alia, a circular
relating to the scheme of arrangement pursuant to which
Zeder has made an offer to acquire all the issued shares
in Capespan (excluding treasury shares) not already held
by Zeder and members of Capespan’s management
(“Scheme”), was posted to the Capespan shareholders on
25 May 2015 (“Scheme Circular”).
1.2. The Scheme Circular incorporated a notice convening a
general meeting of Capespan shareholders for purposes of
adopting the resolution required to approve the Scheme
(“Scheme Resolution”).
2. RESULTS OF THE GENERAL MEETING OF CAPESPAN SHAREHOLDERS
Shareholders are hereby advised that at the general
meeting of Capespan shareholders held at 11:00 today at
Spier Wine Estate, Baden Powell Drive, Stellenbosch, the
Scheme Resolution was unanimously passed by the Capespan
shareholders present or represented by proxy at the
meeting.
