Disposal of assets by Eskom Finance Company SOC Limited to African Bank Limited
In compliance with paragraph 6.24(a)(i) of the JSE Limited ("JSE") Debt and Specialist Securities
Listings Requirements, noteholders are referred to the announcement released on SENS on 7
March 2025 in which Nqaba advised its noteholders that that Eskom Finance Company SOC
Limited ("EFC") wished to dispose of all or a greater part of its assets to African Bank Limited
("ABL") in accordance with the terms of a Sale of Business Assets Agreement ("SOBAA")
concluded with ABL.
Noteholders are advised that due to the conditions precedent of the SOBAA not being met,
specifically in terms of the agreed timeline, the agreements automatically lapsed in terms thereof
and are of no further force or effect.
Noteholders will be informed once further developments are known to the Issuer.
