CHANGE TO THE BOARD

In accordance with paragraph 6.39(a) of the JSE Limited Debt Listings Requirements, the board of
directors of the Issuer (the "Board") wishes to advise that Ms Justina Alders-Sheya was appointed
as an independent non-executive director of Bank Windhoek with effect from 9 February 2024.
Regulatory approval for her appointment has been obtained. The appointment was made pursuant
to the policy dealing with the nomination of directors of Bank Windhoek.

Ms Justina Alders-Sheya is a Namibian and brings over 20 years of international experience in the
financial services sector, specialising in Banking, Corporate Finance and Asset Management. As a
chartered accountant and certified internal auditor holding BCom and MSc degrees, she brings a
wealth of expertise to the Board.

The Board welcomes Ms Justina Alders-Sheya and looks forward to her valuable input and
contributions.
