APPOINTMENT OF NICHOLAS CLARKE AS DIRECTOR AND AUDIT COMMITTEE MEMBER, AND
RESIGNATION OF OLIVIA VAN GISBERGEN AS DIRECTOR AND AUDIT COMMITTEE MEMBER
In accordance with paragraph 6.39 of the Debt Listings Requirements, the board of directors of the
Company (“the Board”) wishes to advise that Mrs Olivia van Gisbergen (“Olivia”) has resigned as director
and audit committee member, due to relocation, and Mr Nicholas Clarke (“Nick”), previously serving as her
Alternate, has been appointed as a director and audit committee member of the company, effective 6 July
2023.
Nick, a qualified accountant, has extensive experience in both listed and unlisted company environments.
He has held various positions in the Capital Markets sector with broad strategic, operational and
governance acumen. His skills include Financial, Risk and Strategic management and he currently serves as
Managing Director of TMF Group South Africa and as independent director and chairman on a number of
Boards. Nick is a member of the Association of Chartered Certified Accountants and holds a B Com
(Financial Accounting) from the University of Stellenbosch.
The Board extends great appreciation to Olivia for her wise counsel and service to the Board since 2018
and we welcome Nick and look forward to his contribution.
