MANDATORY AUDIT FIRM ROTATION
Shareholders are advised that, as referred to in the notice of the annual general meeting (“AGM”) held on
20 September 2022 (“the 2022 AGM”), Southern Sun has applied the Independent Regulatory Board for Auditors’
rule on Mandatory Audit Firm Rotation, as required for its financial year ending 31 March 2024.
Following the conclusion of a tender process, Southern Sun’s Audit and Risk Committee has recommended, and
the Board of Directors of the Company (“the Board”) has endorsed, the proposed appointment of Deloitte &
Touche as the external auditor of the Company, with Dirk Steyn as the designated audit partner, for the financial
year ending 31 March 2024.
Shareholders will be requested to approve the above appointment at the Company’s next AGM, to be held on
20 September 2023 (“the 2023 AGM”), details of which will be communicated to Shareholders in the 2023 AGM
notice. If approved by Shareholders, the appointment of Deloitte & Touche as external auditor, will become
effective from the 2023 AGM.
The Company’s current external auditor, PricewaterhouseCoopers Inc. (“PwC”) will continue to serve as the
Company’s external auditor in respect of its financial year ending 31 March 2023.
The Board extends its appreciation to PwC for their long-standing service to the Company.
