NOTIFICATION OF THE VOTING RESULTS IN RESPECT OF THE REQUEST FOR WRITTEN CONSENT FROM FRC428 AND FRC436 NOTEHOLDERS

FRC428 and FRC436 noteholders are referred to the notice of request for written consent released on SENS on 14 October 2022, in relation to the proposed amendments
to the FRC428 and FRC436 pricing supplements (the consent request), with the deadline date being 17h00 on Friday, 11 November 2022 and in which the extraordinary
resolution set out below was proposed:

- Extraordinary resolution:
THAT the terms and conditions of the FRC428 and FRC436 notes be amended in accordance with Schedules 1 and 2 to the notice requesting the written consent of
FRC428 and FRC436 noteholders with effect from the date on which the Issuer receives confirmation that noteholders holding not less than 66.67% in value of the
aggregate outstanding nominal amount of the FRC428 and FRC436 notes have voted in favour of the proposed amendments.

In this regard, the Issuer confirms the voting results from the consent request in relation to the total nominal amount of the FRC428 and FRC436 notes in issue are as
follows:

FRC436 noteholders. The extraordinary resolution in respect of the amendments to the FRC428 pricing supplement has not been passed by the requisite number of
FRC428 noteholders.
