NOTIFICATION OF EXTERNAL APPROVALS IN RELATION TO THE APPOINTMENT OF THE AUDITOR

Noteholders are referred to the announcement released by the Bank on 23 July 2021 and are advised that
the appointment of KPMG Incorporated (“KPMG”) as its external auditor for FY2022 has been approved by
the shareholders of African Bank Holdings Limited at its extraordinary general meeting which took place
on 12 August 2021 and by the Prudential Authority of the South African Reserve Bank on 15 February 2022.
The Bank confirms that there are no further approvals required for the appointment of KPMG.

The Bank looks forward to working with KPMG.
