DISCLOSURE OF SIGNIFICANT HOLDING OF BIDCORP ORDINARY SHARES
In compliance with Section 122(3) (b) of the Companies Act, 2008 (Act 71 of 2008), as amended
(“Companies Act”) and paragraph 3.83(b) of the Listings Requirements of the JSE Limited (“JSE”),
shareholders are advised that on Wednesday, September 6th 2023, Bidcorp received notification in
terms of section 122(1) of the Companies Act, that the Public Investment Corporation SOC
Limited (“PIC”) has acquired a beneficial interest in the securities of the company, such that the entire
beneficial interest held by the PIC now amounts to 20,028% of the total number of securities in issue
(previously held 19,977% of the total number of securities in issue).
As required in terms of section 122(3) (a) of the Companies Act, Bidcorp has filed the required notice
with the Takeover Regulation Panel (“TRP”).
The board of directors of the company accepts responsibility for the information contained in this
announcement having relied on the notice information as provided by the PIC in the Form TRP 121.1
and, to the best of their knowledge and belief, such information is true and does not omit anything
likely to affect the importance of such information contained herein.
