GENERAL MEETING                                                                 
Update on proposed restructuring                                                
At the Company`s results for the year ended 30 June 2009, announced on 3        
September 2009, shareholders were advised that further details on the           
restructuring plan for the Company would be communicated prior to or at the     
Annual General Meeting.  The Annual General Meeting will be held on Wednesday,  
25 November 2009 and an update on the restructuring will be provided to         
shareholders at that meeting or earlier if deemed necessary.                    
Audited results                                                                 
Shareholders are advised that the Company`s annual report for the year ended    
30 June 2009 containing the Company`s audited annual financial statements for   
the year ended 30 June 2009 was posted to shareholders on 3 November 2009.      
The Company will not publish an abridged report, as the audited results for     
the year ended 30 June 2009 contained in the annual report do not differ from   
the reviewed results for the year ended 30 June 2009 which was released on      
SENS on 3 September 2009.                                                       
The audited results of the Company referred to above were audited by the        
Company`s auditors, PKF (Jhb) Inc. and their unqualified report is available    
for inspection at the Company`s registered office.                              
Notice of the Annual General Meeting                                            
Notice is hereby given that the 14th Annual General Meeting of shareholders of  
Mvela Group will be held in the Executive Boardroom, 28 Eddington Crescent,     
Highveld Techno Park, Centurion, Gauteng at 10:00 on Wednesday, 25 November     
2009, to conduct business as set out in the notice of Annual General Meeting    
contained in the annual report.
