CHANGES TO THE BOARD

Further to the announcement regarding the appointment of Mr Dan Marokane as Group Chief
Executive ("GCE") released on SENS on 11 December 2023, noteholders are advised that
Mr Calib Cassim will resume his role as Chief Financial Officer ("CFO") and executive director
of Eskom. Mr Cassim will return to the CFO position immediately after the new GCE assumes
office no later than 31 March 2024.

In addition, Mr Martin Buys, currently acting CFO and executive director, will step down as
executive director and return to his role as General Manager Group Finance by no later than
31 March 2024.

The above re-appointment was done in terms of the nomination requirements outlined in the
"Handbook for the Appointment of Persons to Boards of State and State-Controlled
Institutions".
