CHANGES TO THE BOARD – RESIGNATION AND CHANGE IN FUNCTION OF DIRECTORS
In compliance with paragraph 3.59 of the Listings Requirements of the JSE Limited (“JSE”), the board of
directors of Motus (“the Board”) hereby notifies shareholders that Mr Graham Dempster (“Mr Dempster”)
has resigned as an independent non-executive director and Chairman of the Board with immediate effect. Mr
Dempster was appointed to the Imperial Holdings Limited board in 2015 and was instrumental in the
unbundling and listing of Motus on the JSE in November 2018. At unbundling, Mr Dempster was appointed
as the Independent non-executive Chairman of the Company.
The Board expresses its extreme appreciation to Mr Dempster for his significant contribution to Motus, during
and after the listing of the Company, and wishes to thank him for his valuable guidance to the Company and
the Board. As a Board, we wish Mr Dempster well in his future endeavours.
Shareholders are further notified that Mr Mfundiso Johnson Ntabankulu (JJ) Njeke (“Mr Njeke”), a current
independent non-executive director, has been appointed as the interim Chairman of the Board with immediate
effect. A permanent appointment will be made in due course.
ABRIDGED CV
Mr Njeke is a CA(SA) and has been a Motus independent non-executive director since November 2018 when
the company listed on the JSE. He serves as a director of a number of listed and non-listed companies
including: Silver Unicorn Coal and Minerals Proprietary Limited (Executive Chairman), Hollard Foundation
Trust (Chairman), Clicks Group Limited, Datatec Limited and Delta Property Fund (Non-executive director).
The Board wishes Mr Njeke well in his new interim role.
Changes will be made to the various Board Committees and shareholders will be informed of these changes
in due course.
