CHANGES TO THE BOARD – APPOINTMENT AND RESIGNATION OF DIRECTORS


In compliance with paragraph 6.39 of the Debt Listings Requirements of the JSE Limited, the board of
directors of KOBWA (“the Board”) hereby notifies Noteholders of the following:

-    Mr Lucky Charles Mohalaba has been appointed as a non-executive director of KOBWA with effect
     from 1 February 2023 pursuant to KOBWA’s Board Nomination and Appointment Policy (as
     published on www.kobwa.co.za/about/docs/KOBWA_Board_Nomination.pdf ).

     Mr Mohalaba, who holds an LLB Degree, Post Graduate Diploma in Corporate Law, and Post
     Graduate Diploma in Public Management, began his career in 2003 as a Candidate Attorney. Over
     the last two decades he has gained substantial business and governance acumen across the
     National and Regional Service Delivery Environment, having served in the office of the Public
     Protector in South Africa, the State Security Agency, Magalies Water, Mpumalanga Housing
     Finance Company and Mpumalanga Department of Education.

     Mr Mohalaba has held various roles during his career which include Head of Legal Services,
     Company Secretary, General Manager: Corporate Services, Acting Chief Executive, Chief Risk
     Officer and most recently, Chief Operations Officer in the office of the Public Protector and has been
     called upon to offer his expertise to various committees, boards and Provincial Treasury and Local
     Municipality Audit Committees.

     The Board, together with the Joint Water Commission, welcomes Mr Mohalaba and looks forward to
     him driving KOBWA’s strategic objectives, and ultimately transforming the transboundary water
     sector for the benefit of all its stakeholders.


-    Ms Mangcamane Maseko has resigned from her position as executive director and Corporate
     Services Director of KOBWA with effect from 17 April 2023 to take up an appointment with a new
     institution.

     The Board, together with the Joint Water Commission, wishes to thank Ms Maseko for her
     invaluable contribution to KOBWA since 2019 and wishes her well in her future endeavours.

     The Board has initiated the recruitment process for a successor and will make further
     announcements in due course regarding an interim appointment.
