DISTRIBUTION OF INTEGRATED REPORT AND NO CHANGE STATEMENT RELATING
TO THE CONSOLIDATED ANNUAL FINANCIAL STATEMENTS

Shareholders are hereby advised that Spear’s integrated report, containing the audited
consolidated and separate annual financial statements for the year ended 28 February 2021,
was distributed to shareholders today, 24 June 2021, and contains no modifications to the
reviewed consolidated results which were announced on SENS on 14 May 2021. The
integrated report is also available at https://spearprop.co.za/investor-relations/#reports

The Company’s auditor, BDO South Africa Incorporate, expressed an unmodified audit
opinion on the consolidated and separate annual financial statements. Their report, which
includes communication of key audit matters, is contained in the annual financial statements
of the Company which forms part of the integrated report.

Shareholders should note the restatement of the prior year cash flow statement as contained
in the separate annual financial statements of the Company for the year ended 28 February
2021. The restatement of the 2020 cash flow statement did not have an impact on the “net
cash flows” of the Company, or on the consolidated cash flows of Spear.

NOTICE OF ANNUAL GENERAL MEETING OF SPEAR

Notice is hereby given that the annual general meeting (“AGM”) of Spear will be held at
11:00, on Friday, 23 July 2021 at Spear REIT Limited Head Office, 16th Floor, 2 Long Street,
Cape Town, to transact the business as set out in the notice of the AGM.

The date on which shareholders must be recorded as such in the share register to be eligible
to vote at the AGM is Friday, 16 July 2021, with the last day to trade being Tuesday,
13 July 2021.
