Appointment of Independent Non-Executive Directors
In terms of section 3.59 of the Listings Requirements of the JSE Limited, shareholders are advised
of the following appointment of Independent Non-Executive Directors to the Board, with effect from
30 April 2021:
Shelley Thomas CA(SA)
Shelley is a qualified chartered accountant. She completed her articles at Kessel Feinstein and is
currently self-employed. Her previous roles have included that of head of forensic, compliance, and
governance in private practice. Shelley has also been appointed to the role of financial director,
internal audit director and that of company secretary in private sector companies. She has over 20
years of experience sitting on boards and committees in both the public and private sectors.
Shelley will be appointed as the Chairman of Social & Ethics Committee, Member of Audit & Risk
Committee and Member of the Remuneration & Nomination Committee.
Grathel Motau CA(SA)
Grathel is a qualified Chartered Accountant with a Master of Philosophy in Development Finance
degree from the University of Stellenbosch. She has more than 22 years of business experience
from both the public and private sectors in areas that include credit risk, financial analysis, financial
management and reporting, auditing, due diligence, corporate governance, supply chain and public
speaking. Grathel is the chief financial officer of Thebe Investments.
Grathel will be appointed as the Chairman of Audit & Risk Committee.
