FURTHER CAUTIONARY ANNOUNCEMENT
Shareholders are referred to the cautionary announcement dated 29 November 2013 and
are hereby advised that Control Instruments has been notified by Torre Holdings Proprietary
Limited (“Torre”) that it has acquired 34.26% of the issued share capital of Control
Instruments. Separate announcements regarding the relevant acquisitions (and disposals)
have been released on SENS in terms of Section 122 of the Companies Act, 2008.
The cautionary announcement dated 29 November 2013 referred to non-binding proposals
received by the Group. Two proposals were received by the Group, one from Torre and one
from another party which has subsequently advised the independent board of Control
Instruments that it is no longer interested in pursuing a proposed transaction.
Torre has issued a Category 2 announcement confirming its acquisition and advising that it is
considering further acquisitions of Control Instruments shares in order to increase its interest
to between 51% and 100%.
Shareholders of Control Instruments are advised to continue to exercise caution when
dealing in the shares of Control Instruments, until a further announcement is made.
