WEA - WG Wearne Limited - Changes to the board of directors WG WEARNE LIMITED (Incorporated in the Republic of South Africa) (Registration number 1994/005983/06) JSE code: WEA ISIN: ZAE000078002 ("Wearne" or "the company") CHANGES TO THE BOARD OF DIRECTORS Following a meeting of the Board of Directors of Wearne ("the board") on 7 December 2011, the board hereby announces the following changes to its composition as required in terms of section 3.59 of the JSE Listings Requirements: The board has terminated its agreement with Sirys Investments (Pty) Ltd for the turnaround and interim management of the company and accordingly Mr Rob Devereux has resigned as Chief Executive Officer with immediate effect. Mr John Wearne (currently a non-executive director) will, in the interim, assume the role of executive chairman until a full-time Chief Executive Officer is appointed. Mr Mitesh Patel, the lead independent non-executive director, will preside at all board meetings for as long the abovementioned circumstances exist. Mr Wessel van der Merwe has been appointed to the board with immediate effect as a non-executive director.
