NOTIFICATION OF AN UPDATE TO INFORMATION STATEMENT

The Issuer has updated the Information Statement referred to in the amended and restated programme
memorandum dated 7 June 2019 (the “Amended and Restated Programme Memorandum”), pursuant to
which the Issuer may from time-to-time issue notes on the terms and conditions set out in the Amended and
Restated Programme Memorandum.

A summary of the changes effected in the Information Statement include:
    -   Update to the Guarantee structure;
    -   Material Risks related to the business of the issuer;
    -   Description of the business of the Issuer;
    -   Update to the Corporate Governance provisions;
    -   Contact details of the Debt Officer and audit partner;
    -   Update to the list of Issuer’s directors and the capacity of each director,
    -   A list of directorships of the Issuer’s directors;
    -   Update to conflicts policy, conflicts registrar, nominations policy and King Code disclosures. and
    -   Further minor clean-up changes pursuant to the JSE DLRs.
        

The updated Information Statement and the Amended and Restated Programme Memorandum dated
7 June 2019 is available for inspection at the registered office of the Issuer and has also been made available
for inspection on the Issuer’s website at https://www.exxaro.com/investor-centre/legal-documents/ .
