Notification of share dealings by directors
The Company’s remuneration committee has proposed an issue of ordinary shares to T Gregory, the Chief
Executive Officer and B Shanahan, the Financial Director, in lieu of performance bonuses for the financial
period 1 January 2016 to 31 December 2016, which were accepted by the directors concerned on
30 December 2016 (“Bonus Issue”). The Bonus Issue represents a specific issue of shares for cash and
is subject to approval by shareholders at a general meeting. A circular, setting out the requisite details and
convening a general meeting, will be distributed in due course.
In compliance with paragraph 3.63, read with paragraph 3.64(g) of the JSE Limited Listings Requirements
(“Listings Requirements”), shareholders are notified that, subject to the above, Ecsponent ordinary shares
will be issued as follows:
