OFFER AND LISTING OF NOVUS


Reference is made to the Company’s pre-listing statement (“PLS”) and abridged PLS announcement
(“Announcement”) published on SENS on Wednesday, 4 March 2015, detailing an offer by way of a subscription
(“Private Placement” or “the Offer”) of ordinary shares (“Shares”) and the listing of Novus (“Listing”) on the main
board of the JSE Limited (“JSE”).

After the release of the PLS Caxton and CTP Publishers and Printers Ltd (“Caxton”) lodged with the Competition
Tribunal an urgent application that Media24 Proprietary Limited (“Media24”), Novus, Adbait Proprietary Limited and
Lambert Retief "notify the acquisition of sole control by Media24 over Novus as well as an order prohibiting the
implementation of the restated management agreement arising as a result of the Novus listing until such time as the
change of control so brought about by the listing as a result of the implementation of the restated management
agreement has been approved by the Tribunal”. Novus and the other respondents named above will oppose this
application.

This matter will be heard by the Competition Tribunal on Friday, 20 March 2015. Given the timing of this hearing,
Novus will grant eligible investors an extension to apply to participate in the Offer and therefore extend certain other
dates as set out below. The salient dates and times of the Offer and Listing as disclosed in the PLS and
Announcement have been amended as set out below:
