CHANGE TO THE BOARD OF DIRECTORS

In compliance with paragraph 3.59 (b) of the JSE Limited
Listings Requirements, DigiCore hereby advises that Mr. Barney
Esterhuyzen (“Barney”) has tendered his resignation as the Chief
Executive Officer (“CEO”) of DigiCore today, 8 February 2013,
for family and personal reasons.

He will be returning his full time focus to his Cape Town based
family investment business.

The   company  has   entered  into   appropriate restraint and
consultation arrangements related to Mr Esterhuyzen for hand
over and business continuity purposes.

The executive Chairman of DigiCore, Mr Nick Vlok, shall take
over the CEO responsibilities.

Further announcements regarding the management    structure   and
board composition shall follow in due course.

The board wishes to thank Barney for his valued contribution in
the various roles he has served over the last seven years.
