Notice is hereby given that cash dividend No. 154 on the 6% cumulative          
participating preference shares ("preference shares") for the six months ending 
30 June 2012 at the rate of 6% per annum, (6 cents per preference share) will be
paid on Monday, 25 June 2012 to all holders of preference shares ("preference   
shareholders") recorded in the register of the Company at the close of business 
on Friday, 22 June 2012.                                                        
The salient dates of the preference dividend are as follows:

In terms of the Listings Requirements of the JSE Limited regarding the new      
Dividends Tax effective 1 April 2012, the following additional information is   
disclosed:                                                                      
1    The dividend has been declared out of income reserves;                     
2    The local dividend tax rate is 15%;                                        
3    Secondary tax on companies credits utilised is 6.00 cents per share in     
    repect of the  preference shares;                                           
4    The gross local dividend amount is 6.00 cents per share for preference     
shareholders exempt from paying the new Dividends Tax;                      
5    The net local dividend amount is 6.00 cents per share for preference       
    shareholders liable to pay the new Dividends Tax;                           
6    The issued preference share capital of African& Overseas is 275 000 6%     
cumulative participating preference shares of R2.00 each;                   
7    The issued ordinary share capital of African & Overseas is 1 250 000       
    ordinary shares of 50 cents each and 10 137 441 `N` ordinary shares of 0.25 
    cent each; and                                                              
8    African & Overseas` tax reference number is 9010/017/03/7.
