CHANGE TO THE BOARD OF DIRECTORS AND RECONSTITUTION OF REMUNERATION AND NOMINATION
COMMITTEE

In compliance with paragraph 3.59 of the JSE Listings Requirements, and further to the announcement released on SENS on
7 August 2023 wherein shareholders were informed of Mr Corrie Roodt's initial intention to resign as an independent, non-
executive director of the Premier Board of Directors (Board), shareholders are hereby advised that Mr Roodt and Premier have
agreed that Mr Roodt's resignation will take effect on 31 January 2024. Following his resignation from the Board, Mr Roodt will
simultaneously resign as a member of the Remuneration and Nomination Committee.

The Board wishes to express its sincere gratitude and appreciation to Mr Roodt for his dedication, outstanding guidance and
wise stewardship over his 12-year tenure with Premier and wishes him well in his future endeavours.

Pursuant to the above and with effect from 1 February 2024, Mr Daniël Dirk Ferreira, an independent, non-executive director
of the Board, will be appointed as a member of the Remuneration and Nomination Committee.

The Remuneration and Nomination Committee will therefore be reconstituted as follows:

Mr Jonathan Matthews (Chairman)
Mr Daniël Dirk Ferreira
Mr Iaan Van Heerden
