RESULTS OF MANDATORY OFFER
1. Introduction
Shareholders are referred to the respective announcements released on the Stock Exchange News
Service regarding a mandatory offer for enX shares by African Phoenix Investments Limited, acting in
concert with MCC Contracts Proprietary Limited, Samvenice Trading Proprietary Limited, SBSA ITF
Sui Generis LPFP H4 QHF, Crimson Harvest Holdings Proprietary Limited and Peresec Prime Brokers
Proprietary Limited (collectively the “Offerors”), to acquire the remaining shares in enX at an offer
consideration of R6.41 per share (the “Offer Consideration”) in terms of section 123 of the Companies
Act 71 of 2008 (the “Mandatory Offer”). Shareholders are further referred to the combined offer
circular containing full details of the Mandatory Offer published on Tuesday, 20 June 2023 and amended
on 3 August 2023 (such circular, as amended, the “Circular”).
2. Mandatory Offer results
Shareholders are advised that the Mandatory Offer, which closed at 12:00 on Friday, 15 September
2023, was accepted in respect of 495 846 enX shares, comprising 0.27% of enX’s issued share capital.
Accordingly, once all acceptances have been settled, the Offerors will collectively hold 89 468 470 enX
shares, being 49.07% of the issued share capital of enX.
