UPDATE REGARDING THE DISPOSAL OF 3 SIMBA AND 5 SIMBA PROPERTIES
Shareholders are referred to the announcement released by Delta on SENS on 4 July 2022 (“Initial Announcement”),
wherein it was disclosed that the Company had entered into an agreement with Twenty-five 15 Proprietary Limited
(“Twenty-five”) (“Agreement”) to dispose of the following properties:
• the property situated at 3 Simba Road, Sunninghill, Johannesburg, together with all buildings and improvements
thereon, as more commonly known as “3 Simba”; and
• the property situated at 5 Simba Road, Sunninghill, Johannesburg, together with all buildings and improvements
thereon, as more commonly known as “5 Simba”,
collectively the “Properties” for a total cash consideration of R38 million (the “Disposal”).
Following the Initial Announcement, Twenty-five has elected to nominate Edison Hill Proprietary Limited (“Edison Hill”)
in its place as the purchaser of the Properties in terms of clause 22 of the Agreement. Edison Hill is beneficially owned
by Mpande Property Fund (an en Commandite Partnership), and Messrs Alan Wilson, Simon Fifield and Jeffrey Froom.
None of these parties are ‘related parties’ in terms of the JSE Limited Listings Requirements.
All other terms and conditions of the Disposal as set out in the Initial Announcement are unchanged.
