NOTICE IN TERMS OF SECTION 45(5)(a) OF THE COMPANIES ACT 71 OF
2008, AS AMENDED
Notice is hereby given in terms of section 45(5)(a) of the Companies Act 71 of
2008, as amended (the “Act”), as follows:
- Nedbank Limited (“Nedbank”) has extended the settlement date of the
loan in the amount of R654 337 430 (“Loan”) to ARIA Property Group
Proprietary Limited (“ARIA”), a subsidiary of the Company, subject to the
provision of security for repayment of the Loan by the Company;
- As part of the revised terms, the Company’s sureties for the Loan have
been reduced from R407 million to R215 million and the interest rate on
the Loan decreased by 0.19%.
- the board of directors of the Company (the “Board”) has on 20 October
2021, resolved that its existing limited Deed of Suretyship dated 20
January 2017 in favour of Nedbank shall remain in place and shall be valid
security for the Loan;
- the provision of the security in terms of the limited Deed of Suretyship
constitutes financial assistance by Trematon to a related company in
terms of section 45 of the Act and is authorised by a special resolution of
Trematon shareholders dated 27 January 2021;
- In terms of and pursuant to section 44 and/or section 45 and/or section 46
of the Act, the Board has considered all reasonably foreseeable financial
circumstances of the Company so as to satisfy itself of the solvency and
liquidity of the Company immediately after providing the financial
assistance as contemplated in terms of the security provided for the Loan.
