Redemption of SBK 16 Tier II Capital Notes


On 15 March 2012, The Standard Bank of South Africa Limited
(“Standard Bank”) issued ZAR 2,000,000,000 Subordinated Unsecured
Notes which qualified as Tier II capital (the “SBK 16 Notes”).
The SBK 16 Notes are subject to the terms and conditions contained
in the Programme Memorandum dated 1 December 2010 (the “Programme
Memorandum”) as read together with the Applicable Pricing
Supplement issued in respect of the SBK 16 Notes dated 12 March
2012 (the “Applicable Pricing Supplement”).
In terms of the Applicable Pricing Supplement, the SBK 16 Notes
mature on 15 March 2023, however, they are redeemable at the option
of Standard Bank on 15 March 2018, subject to the prior written
approval of the Registrar of Banks.
Pursuant to Condition 51(a) of the Applicable Pricing Supplement
and after having obtained the requisite prior written approval
from the Registrar of Banks, Standard Bank hereby gives notice
that it shall redeem the SBK 16 Notes on 15 March 2018 at 100% of
the aggregate nominal amount thereof, together with any interest
accrued thereon up until that date.
