NOTICE OF REDEMPTION OF ZAR 1,010,000,000 SUPER SENIOR SECURED FLOATING RATE NOTES
Edcon Limited (formerly Edcon Proprietary Limited) (the “Issuer”) gives notice to the holders of its ZAR
1,010,000,000 Super Senior Secured Floating Rate Notes due 2016 (the “Notes”) of the redemption of the entire
aggregate principal amount of the Notes (the “Redeemed Notes”), in accordance with item 53 titled “Other
provisions” of the Applicable Pricing Supplement dated on or about 31 March 2011 in respect of the Notes and
Section 14 read together with Section 1.6.2 of Schedule 4 to the trust deed, dated on or about 24 March 2011, as
amended or supplemented from time to time (the “Trust Deed”) entered into among the Issuer, TMF Corporate
Services (South Africa) Proprietary Limited (formerly GMG Trust Company (SA) Proprietary Limited), as
trustee (the “Trustee”), Edcon Holdings Limited (formerly Edcon Holdings Proprietary Limited), Edcon
Acquisition Proprietary Limited, Edgars Consolidated Stores Limited, Elephant Onthecards Proprietary Limited
and the other parties thereto. All capitalised terms used herein and not defined shall have the meanings assigned
to such terms in the Trust Deed. The terms of the redemption are as follows:
1. The redemption date for the Redeemed Notes will be 4 January 2016 (the “Redemption
Date”) and the record date will be 24 December 2015.
2. The redemption price is 100.00% of the principal amount of the Redeemed Notes, plus
accrued and unpaid interest and Additional Amounts, if any, to, but not including, the Redemption Date (subject
to the right of the registered Holders of record on the relevant record date to receive interest due on the relevant
interest payment date). The aggregate redemption amount for the Redeemed Notes is ZAR 1,041,969,572 (the
“Redemption Amount”), which is the sum of:
(i). the aggregate principal amount of the Redeemed Notes amounting to ZAR 1,010,000,000, plus
(ii). accrued and unpaid interest to, but not including, the Redemption Date of 4 January 2016, amounting
to ZAR 31, 969,572.00
3. In the case of Notes represented by an Individual Certificate, the Redeemed Notes must
be presented and surrendered to the Paying Agent, which is Rand Merchant Bank, a division of FirstRand Bank
Limited whose specified address is 1 Merchant Place, Cnr Fredman Drive and Rivonia Road, Sandton, 2196,
South Africa, to collect the Redemption Amount. In the case of uncertificated Notes, no further action will be
required.
4. Unless the Issuer fails to make the payment of the redemption price specified above in
respect of the Redeemed Notes on the Redemption Date, interest and Additional Amounts, if any, on the
Redeemed Notes shall cease to accrue on and after the Redemption Date, and the only rights of the Holders of
the Redeemed Notes shall be to receive payment of the Redemption Amount (in the case of Notes represented by
an Individual Certificate, upon surrender to the Paying Agent of the Redeemed Notes).
5. No representation is made by the Issuer, the Trustee or the Paying Agent as to the
correctness or accuracy of the ISIN numbers and Common/Stock Codes listed in this notice or printed on the
Notes.
6. This notice of redemption is given on 24 November 2015.
