Awarding of shares to directors in terms of Long Term Incentive Plan
In compliance with paragraph 3.63 to 3.66 of the JSE Limited Listings Requirements,
shareholders are hereby notified that the following Buildmax shares were awarded to
the following directors of the Company in terms of the Companys Long Term Incentive
Plan (LTIP).
The following information is relevant to the shares awarded to the directors detailed
below:
i. the strike price per share is nil;
ii. the shares will be held by an escrow agent until such time as the shares vest,
which will be when the Buildmax board of directors Remuneration Committee confirms
that the criteria as set out in the LTIP have been met by the respective individuals;
iii.60% of the allocation is linked to performance and will vest as follows:
* 50% will vest in May 2013 after reviewing the year end results for the financial
year ending 28 February 2013; and
* 50% will vest in May 2014 after reviewing the year end results for the financial
year ending 28 February 2014; and
iv. 40% of the allocation is linked to co-investment and subject to tenure, as determined
by the LTIP.
