GROUP FINANCIAL RESULTS FOR THE YEAR ENDED 28 JUNE 2026 AND DECLARATION OF ORDINARY AND SPECIAL

Rainbow delivered a strong financial performance for the year ended 28 June 2026, primarily attributable to
favourable market conditions, including higher demand for poultry products and lower commodity prices. This was
complemented by strong agricultural and operational performance, together with cost efficiencies.
The Chicken Division achieved exceptional performance in the current year, due to firm pricing, a more strategic
product mix and improved agricultural and operational performance. The Animal Feed Division continued to focus
on higher-margin volumes, delivering improved profitability despite lower selling prices associated with softer raw
material commodity prices. Within the Waste-to-Value Division, the Rustenburg plant demonstrated improved
performance, however it continues to be an area of strategic focus of management.
The Group maintained a strong financial position, with cash and cash equivalents increasing to R2,4 billion at year
end, supported by improved profitability, strategic capital allocation and low gearing levels.
DECLARATION OF ORDINARY DIVIDEND No. 3
Notice is hereby given that the Board of Directors has declared a final gross cash dividend of 45.00 cents per share
(2025: 20.00 cents per share) out of income reserves for the year ended 28 June 2026.
DECLARATION OF SPECIAL DIVIDEND
Notice is hereby given that the Board of Directors has declared a special gross cash dividend of 75.00 cents per share
out of income reserves for the year ended 28 June 2026.
The Board has resolved to declare the special dividend having regard to the Company’s strong cash position and low
level of gearing.
The special dividend brings the total distribution for the year to 135.00 cents per share.
Both dividends will be subject to dividend withholding tax at a rate of 20%, resulting in a net final dividend of 36.00
cents per share (2025: 16.00 cents per share) and a net special dividend of 60.00 cents per share, unless the
shareholder concerned is exempt. The special dividend is subject to South African Reserve Bank (“SARB”) approval.
Shareholders will be notified once SARB approval has been obtained, by or before the expected finalisation date
specified below.
The issued share capital at the declaration date is 898 731 497 ordinary shares. The Company’s tax reference number
is 9031711303.
The following salient dates apply to the payment of the final and special cash dividends:

Finalisation date for the special dividend, (by 11h00) Tuesday 29 September 2026
Last day to trade in order to participate in the final and special dividends Tuesday 06 October 2026
Shares commence trading “ex” the final and special dividends Wednesday 07 October 2026

Share certificates may not be dematerialised or re-materialised between Wednesday, 07 October 2026 and Friday,
09 October 2026, both days inclusive.
Dividends will only be transferred electronically to the bank accounts of shareholders. Where shareholders have not
provided the Transfer Secretaries with their banking details, the dividend will not be forfeited but will be marked as
“unclaimed” in the share register until the relevant banking details are provided.
