FULFILMENT OF CONDITIONS PRECEDENT, FINALISATION ANNOUNCEMENT AND REVISED DATES AND TIMES IN
RESPECT OF THE MANDATORY OFFER
Shareholders of RBPlat are referred to the mandatory offer by Impala Platinum Holdings Limited (“Implats”) to
RBPlat shareholders (the “Mandatory Offer”), the terms of which are set out in the Implats offer circular posted
on 17 January 2022, and to the RBPlat offeree response circular to RBPlat shareholders, dated 11 February 2022
(the “Offer Circular”).
Shareholders of RBPlat are also referred to the SENS announcement released by Implats on 30 June 2023 (the
“Implats Announcement”).
FULFILMENT OF CONDITIONS PRECEDENT AND REVISED DATES AND TIMES
RBPlat shareholders are advised that the JSE has approved the listing of the Offer Consideration Shares (as
defined in the Offer Circular) thereby fulfilling the condition precedent set out in paragraph 3.6.1.2 of the Offer
Circular. Accordingly, as referred to in the Implats Announcement, the Mandatory Offer is unconditional.
The important dates and times in relation to the Mandatory Offer, as amended, are set out in the Implats
Announcement and should be considered together with the Offer Circular.
Implats continues to reserve the right, but not the obligation, to further extend the Initial Closing Date of the Offer
(as set out in the Implats Announcement) on the basis set out in the Offer Circular, in which event the dates and
times following the Initial Closing Date (as set out in the Implats Announcement) will also be extended and a
further announcement will be made by Implats detailing the relevant amendments to the table of important
dates and times.
