Retirement of current Chairman, Appointment of Chairman Designate
and Changes to Board Committees
In compliance with paragraph 3.59 of the JSE Limited Listings
Requirements, the Board of Directors of Tiger Brands (“the Board”)
today announced that the current Chairman, Dr Khotso Mokhele will
step down from his position as Chairman of the Board with effect
from 31 December 2020, having served as an independent non-executive
director since August 2007, prior to being appointed as Chairman
in February 2017. He will accordingly also step down as a member
of the Nomination & Governance, Remuneration and Investment
Committees.
Shareholders are informed that the Board has appointed Ms Geraldine
Fraser-Moleketi as independent non-executive director and chairman
designate with effect from 1 September 2020, to facilitate a smooth
handover. She will assume the role of chairman with effect from 1
January 2021.
Ms Fraser-Moleketi was elected to South Africa’s first democratic
parliament in 1994 and served in three consecutive parliaments
until her resignation in 2008. She served in various Cabinet
roles from 1996 to 2008, including as Minister of Public Service
and Administration and Minister for Welfare and Population
Development. From 2008 to 2016, Ms Fraser-Moleketi served as
Director of Global Democratic Governance Practice of the United
Nations Development Programme (UNDP) and Special Envoy on Gender
of the African Development Bank. She currently serves as
Chancellor of the Nelson Mandela University, South Africa and in
advisory roles as Chair of the Advisory Council of the Mapungubwe
Institute for Strategic Reflection and as Chair of the Committee
of Experts on Public Administration of the United Nations
Economic and Social Council.
Through her work in governmental and inter-governmental
structures, she has interacted extensively with political
leaders, business leaders and civil society across South Africa,
the African Continent and globally and engaged in complex
negotiations across different issues and sectors.
Ms Fraser-Moleketi holds a master’s degree in administration from
the University of Pretoria, South Africa and has been awarded a D
Phil Honoris Causa by Nelson Mandela University. She is a fellow
of the Institute of Politics, Kennedy School of Government, at
Harvard University, and has completed a Leading Organisational
Change course at Wharton Business School at the University of
Pennsylvania.
She is Lead Independent Director of Exxaro and a Non-Executive
Board member of Standard Bank Group and Standard Bank South
Africa.
The Board thanks Dr Mokhele for his leadership and immense
contribution to the Board during his tenure and wishes him well
in his future endeavours.
The Board appointed Advocate Mahlape Sello as a member of the
Social, Ethics and Transformation Committee with effect from 20
August 2020.
