CHANGE TO THE BOARD OF DIRECTORS

The Board of Directors ("Board") of Bank Windhoek, hereby announces the retirement of Mr Jacobus
Christiaan "Koos" Brandt as a non-executive director of Bank Windhoek. Mr Koos Brandt retired from
the board on 30 April 2025, concluding an illustrious career of over four decades with Bank Windhoek
and Capricorn Group Limited ("Capricorn Group").

Mr Koos Brandt is one of the founders of Bank Windhoek, leading the group of visionary
entrepreneurs who established Bank Windhoek in 1982. He has served Capricorn Group and Bank
Windhoek with distinction in various leadership capacities. Notably, Mr Koos Brandt was the
chairperson of Bank Windhoek from 1982 until 30 June 2017, and he also played a pivotal role in
the formation of Capricorn Group in 1996, serving as its inaugural chairperson until 2017. Mr Koos
Brandt has been integral to the growth and success of both Bank Windhoek and Capricorn Group.

The Board further announces the continuation of Mr JW Brandt as alternate director of Ms
E Solomon, effective 1 May 2025, following the retirement of Mr Koos Brandt. Mr JW Brandt has
been Mr Koos Brandt's alternate director since 2016.

The board of Bank Windhoek expresses its deepest appreciation to Mr Koos Brandt for his
unparalleled service, leadership and dedication. In acknowledging his retirement, the Board notes
that Mr Koos Brandt's vision and foresight have shaped the identity and success of Bank Windhoek
and Capricorn Group.
