NOTIFICATION IN TERMS OF SECTION 45(5) OF THE COMPANIES ACT

In accordance with section 45(5)(a) of the Companies Act, No. 71 of 2008 (“Companies Act”) and pursuant to the
authority granted to the board of directors of the Company (the “Board”) at the annual general meeting of the Company
held on Friday, 25 February 2022, notice is hereby given that the Board has adopted a resolution to provide
financial assistance to Quantum Foods Proprietary Limited, a wholly owned subsidiary of the Company
(“Quantum Foods Pty Ltd”), by way of a limited financial guarantee in respect of a R100 million 5-year term loan facility
extended to Quantum Foods Pty Ltd (“Financial Assistance”).

Pursuant to section 45(3)(b) of the Companies Act, the Board confirms that it is satisfied that (i) immediately after
providing the Financial Assistance, the Company will satisfy the solvency and liquidity test as contemplated in section 4
of the Companies Act; and (ii) the terms under which the Financial Assistance are given are fair and reasonable to the
Company.
