APPOINTMENT OF NON-EXECUTIVE DIRECTORS TO THE TRANSNET BOARD OF DIRECTORS

In accordance with paragraph 6.39 of the JSE Debt Listings Requirements, Transnet
wishes to notify noteholders that the Minister of Public Enterprises has made the following
appointments to the Transnet Board of Directors effective from 11 July 2023.

The following constitute new appointments as Non-Executive Directors:

•       Mr Andile Sangqu (Chairperson of the Board)
•       Ms Lebogang Letsoalo
•       Mr Martin Debel
•       Mr Dipak Patel
•       Mr Busisa Jiya.
•       Ms Mosadiwamaretlwe Pearl Zambane
•       Ms Boitumelo Sedupane
•       Ms Refilwe Buthelezi
•       Mr Elias Monage

The following constitute reappointments as Non-Executive Directors:

•       Dr Popo Molefe
•       Dr Sydney Mufamadi

With these appointments, the Transnet Board will have a complement of thirteen (13)

Directors comprising eleven (11) Non-Executive Directors and two (2) Executive Directors:

•       Ms Portia Derby - Group Chief Executive
•       Ms Nonkululeko Dlamini - Group Chief Financial Officer

The term for the following Non-Executive Directors was not extended:

•       Ms. UN Fikelepi
•       Ms. ME Letlape
•       Ms. DC Matshoga
•       Mr. AP Ramabulana

The appointments were made in accordance with the Department of Public Service and
Administration Handbook for the appointment of persons to Boards of State and State-
controlled institutions.
